Comprehensive guidelines and legal framework for using the IBS Management Software (Inzora Business Suite) platform.
1. Agreement to Terms
By accessing, browsing, or using the IBS Management Software Software (also known as 'Inzora Business Suite' or 'Services'), provided by Initiative Tech Solutions Ltd ('ITS Ltd', 'we', 'us', or 'our'), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ('Terms'). These Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ('you', 'User', or 'Subscriber'), and the facilitating entity concerning your access to and use of the platform across all versions (Web, Mobile, and PC) and all specialized modules including Retail, Pharmacy, Service Provider, NGO, Hotel, and Restaurant management.
2. Service Usage & Licensing
2.1 Eligibility Requirements
To use our Services, you must be at least 18 years of age and possess the legal authority to form a binding contract. By utilizing IBS Management Software, you represent and warrant that all registration information you submit is truthful and accurate. Our Services are designed for use by Large Enterprises and SMEs globally, with specialized offline/online capabilities.
2.2 Grant of License
Subject to your compliance with these Terms, ITS Ltd grants you a non-exclusive, non-transferable, revocable, limited license to access and use the IBS Management Software suite solely for your internal business operations. This license includes access to AI-driven business assistance, reporting tools, and module-specific features (such as Inventory, POS, and HR management).
2.3 Prohibited Activities
Users are strictly prohibited from: (a) Attempting to decompile, reverse engineer, or disassemble any software contained in the platform; (b) Removing any copyright or other proprietary notations from the materials; (c) Using the platform in any manner that could damage, disable, or impair our servers or networks; (d) Forging headers or otherwise manipulating identifiers to disguise the origin of any content transmitted through the Services; (e) Unauthorized probing or testing of the platform's security infrastructure.
3. User Accounts & Security
3.1 Account Creation
Account registration is required to access primary features. You must provide valid business information to complete the signup process. Each account is for a single legal entity and is non-transferable without prior written consent.
3.2 Security Responsibilities
You are entirely responsible for maintaining the confidentiality of your account password and for any and all activities that occur under your account. We implement rigorous security protocols at the platform level, but you remain responsible for your own credential management.
4. Financial Terms & Subscriptions
4.1 Subscription Fees
Use of IBS Management Software requires the payment of subscription fees as outlined in our pricing tiers. All fees are quoted in RWF or USD as specified. Pricing for specialized websites, ecommerce platforms, and business dashboards is handled based on the features and scale of your implementation.
4.2 Billing & Payment Processing
By providing payment information, you authorize the platform to charge your designated payment method for all applicable fees. All billing communication and documentation are handled through our automated systems or designated support channels.
4.3 Refund Policy
Except as expressly set forth in these Terms or required by applicable law, all subscription fees are non-refundable. We do not provide credits or refunds for partially used subscription periods.
5. Intellectual Property Rights
5.1 Proprietary Ownership
The Inzora Business Suite platform, including its AI assistance modules, source code, and all digital assets, are the exclusive property of Initiative Tech Solutions Ltd and are protected by international copyright and trademark laws.
5.2 User Contributions & Feedback
Any suggestions or feedback provided by you regarding the platform shall become the sole property of our company, allowing us to continuously improve the 'Inzora Business Suite' for all global users.
6. Termination & Suspension
The right to deny access to and use of the Services to any person for any reason is reserved, including without limitation for breach of any representation, warranty, or covenant contained in these Terms.
7. Disclaimers & Warranties
THE SERVICES ARE PROVIDED ON AN 'AS-IS' AND 'AS-AVAILABLE' BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY OF AI-GENERATED PREDICTIONS OR THE UNINTERRUPTED AVAILABILITY OF OFFLINE SYNC FEATURES.
8. Limitation of Liability
IN NO EVENT WILL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
9. Governing Law & Dispute Resolution
These Terms and your use of the Services are governed by and construed in accordance with the laws of the Republic of Rwanda. Any legal action shall be instituted in a court in Kigali, Rwanda.
10. Modifications to Terms
